Terms of Service

These Terms of Service ("Terms") govern your access to and use of SemesterQuest, an educational technology platform operated by TeachArgument LLC, a New Jersey limited liability company, doing business as SemesterQuest ("SemesterQuest," "we," "us," or "our").

By accessing or using the Services, you agree to these Terms.

1. Eligibility

Teachers must be at least 18 years old. Students may use the Services only through authorization by a teacher or school. You represent that you have the authority to use the Services.

2. Accounts

You are responsible for maintaining the confidentiality and security of your account credentials. Teachers control access to student accounts within their classes.

3. Acceptable Use

You agree not to:

  • Submit unlawful, harmful, or abusive content
  • Attempt to disrupt, reverse engineer, or interfere with the Services
  • Violate applicable laws or regulations
  • Misuse AI-powered features, including attempting to reidentify students or bypass safeguards

4. Abuse Prevention and Fair Use

SemesterQuest is intended for good-faith educational use.

To protect the integrity, availability, and sustainability of the Services, we reserve the right to monitor usage patterns and to limit, suspend, or restrict accounts that, in our reasonable judgment:

  • Attempt to circumvent plan limits, usage restrictions, or pricing
  • Create multiple accounts to avoid payment requirements
  • Misrepresent eligibility for free, discounted, or trial access
  • Use the Services in a manner that places unreasonable or excessive load on the system
  • Resell, sublicense, or provide unauthorized third-party access to the Services

Any enforcement actions will be taken in a manner intended to be reasonable and proportional.

Nothing in this section limits a school's ability to enter into a separate written agreement governing institutional use.

5. Content Ownership

TeachArgument LLC retains all rights to the SemesterQuest platform and related intellectual property. Users retain ownership of their content.

Users grant SemesterQuest a limited, non-exclusive license to host, display, and process content solely for the purpose of operating and improving the Services.

6. Moderation and Enforcement

We may remove content or suspend or terminate accounts when required by law, to protect users, or to enforce these Terms.

7. Payments

Certain features of the Services may require payment. Paid plans are billed annually unless otherwise stated. Payments are processed by third-party providers. Fees are non-refundable except where required by law.

8. Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services for violations of these Terms or misuse of the platform.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, express or implied.

10. Limitation of Liability

To the maximum extent permitted by law, TeachArgument LLC shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the fees paid by you to SemesterQuest in the twelve (12) months preceding the claim, except where prohibited by law.

11. Indemnification

You agree to indemnify and hold harmless TeachArgument LLC from claims arising out of your misuse of the Services or violation of these Terms.

12. Dispute Resolution

These Terms are governed by the laws of the State of New Jersey. Disputes involving educators or institutions shall be resolved through binding arbitration on an individual basis, except where prohibited by law or involving student users.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
